These terms of use (Terms of Use) are phrased for convenience purposesonly. Any use, entrance or login to the Website and conducting service orders orpurchases using the Website, constitute a confirmation that you have read andagreed to be bound by (i) these Terms of Use; (ii) the terms of use of a Product'sSeller from which you make a purchase; (iii) any notice displayed through the Website and/or by the Sellers; and (iv) to the terms of any Service or Product you accessed through the Website.
It is hereby clarified that the Products supplied and sold via the Website are soldand supplied solely by third parties. The Website is merely a platform whichallows Users and Sellers to engage in the sale and purchase of Products, andtherefore the applicable Seller shall be solely responsible for any Product sold byhim, its quality, nature and conditions of sale and supply and its supply shall bemade solely by the Seller. Definitions :-

2. Users and/or Buyers :- means the Website's registered users/Bidders and/or Buyers who used the Website and/or any one on their behalf.
3. Seller and/or Sales House :- means parties who approaches www.bids24.in .in for listing and/or sell their vehicles on the platform via the Website having the undisputed legal right and/or authority to sell the Vehicle. It could be an individual, a firm, a company; any legal entity being or anyone appointed by a court or by the execution authority or any other competent authority for selling the Product via the Websites bidding process.
4. Products, Services, Items :- means any Product and/or service offered for Auction sale via the Website.
5. Auction :- means a sale to which a starting price shall be set, and any User interested to purchase the Product being sold in such sale shall have to place abid, the User who offered the highest price at the end of such sale shall "win"suchsale.
6. Portal(s) :- means sections of sale within the Website and Mobile Applications.
7. Indus Salvage Private Limited can also be referred as "Bids24Salvage Services PrivateLimited," or"Company"or“ServiceProvider”or “Auctioneer”.
Services offered and conditions :-
1. The Website provides you with a feature-rich, web-based, automated platform for auction (on a real time basis) of a wide variety of New and pre-owned motor vehicle assets, consisting 4 wheelers (including passenger cars), 2 wheelers, 3 wheelers,commercial vehicles,construction and Farm equipment,and soon.
2. Any Product which shall be offered for Auction Sale via the Website by a Seller will be placed and displayed within a designated auction page in which relevant in formation regarding the applicable Product shall be provided.
3. The Website allows its Registered Users only to place bids in Auctions of aparticular or multiple vehicle which shall be as is where is basis only.
4. All bids placed with respect to any vehicle in auctions by you made via the Website/Mobile app shall be binding. In case such bids are placed and selected as the winning bids, you shall be required to exercise such bids. Cancellation of bids and/or purchases shall not be possible post auction expiry.
5. Being all auctions “Post Approval”, Seller is not obligated to accept the highestbid or any bid what so ever, and will be entitled to hold an additional bidding process between the bidders or some of them, even following the applicable saledate, to extend the deadline for submission of bids, to extend the time of anybidding process and to cancel a bidding process, all in its sole discretion and subject to applicable law.
6. The price offered by Bidders in Auctions with respect to a Vehicle is a net price for such applicable Vehicle only.A standard Transaction Fee(asmentionedin “Fees and Payments” section) of the Winning Bid shall be payable by the Bidder to Bids24 Salvage Services Private Limited.Winner is responsible for paying all fees associated with the use of the Website and agrees to bear any and all applicable taxes, charges,cesses etc. levied there on.
7. In the event of Non-payment (of Membership Fee, Security Deposit, AuctionFee, etc.) or not honoring the Winning Bid or Late/No-response against any auction obligation by Bidder, Bids24 Salvage Services Private Limited,reserves the right to temporarily/indefinitely suspend or terminate your membership and/or for feit whole or part of the any Deposit deposited to the Website and refuse to provide access to the Website by considering you BACKOUT and may take legal action.
8. In case any buyer issue arises, we may consider the user's performance history and the specific circumstances in applying our policies. We may choose tobe more lenient with policy enforcement in an effort to do the right thing forbuyers. The foregoing does not limit or impair our right to refuse, modify, or terminate all or part of our Services to anyone,or to terminate this agreement with anyone, for any reason at our discretion.
9. All Vehicle images presented on an Auction Page are for reference purposesonly and there may be differences between the images presented and the actual Product. It is hereby suggested that Bidder should check the vehicle physically and donot trust the images presented on the Website.
Applying for Membership :-
1. Access of the Website is available only to persons(as a registered Bidder)who can form legally binding contracts under Indian Contract Act, 1872. One must be18 years or older or at least the age of majority in the jurisdiction where youreside or from which you use this Service. To access and use the Services, youmust agree to all Terms and Conditions after reading them thoroughly andregister for a Bids24 Salvage Services Private Limited,account by paying the requisite Registration Fee/Membership Fee and has deposited the Security Deposit (through cheque/draft/NEFT/RTGS/IMPSonly).
2. You must provide your full legal name,current address,phone number,a valid email address, and any other information indicated as required. Bids24 Salvage Services Private Limited,may reject your application for an Account, or cancel an existing Account,for any reason, in our sole discretion. You’re provided email address and phone number will be used as the primary method for communication.
3. It is your obligation to provide true, accurate, current and complete information and you are solely responsible for maintaining the confidentiality of your User ID and Password and for restricting access to your computer, computer system and computer network, and for all activities that occur under your User ID and Password. Bids24 Salvage Services Private Limited,cannot and will not be liable for any loss or damage from your failure to maintain the security of your Account.
4. Your membership shall be reviewed and renewed annually by paying annual membership fee (1 calendar year) for continuous access to the Platform and services associated. Bids24 Salvage Services Private Limited,reserves the right to change/alter/waive the Registration Fee, annual Membership Fees or Security Deposit at any time with or without notice.
5. If you are registering as a business entity, you represent that you are duly authorized by the business entity to accept this User Agreement and you have the authority to bind that business entity to this User Agreement and Privacy Policy.

If interested, one can become member/buyer/user of services offered by the Website for one (1) calendar year by paying the Registration Fee and Security Deposit.
Account Renew Fee is only applicable if user pays the amount on or before account expiry date, post that registration fee amount will be applicable for account re-activation.
Vehicle/Auction Fee will be calculated on the winning bid amount of every Auction Sale and becomes due and payable by Buyer once confirmation of the acceptance of his Winning Bid is conveyed to him.
A non-interest-bearing refundable security deposit (minimum of ₹10,000) will be collected from all Member applicants (via cheque/draft/NEFT/RTGS/IMPSOnly) at or post registration. Which will be returned to respective Buyer only uponhis request or expiry/early termination of this Agreement only if all invoices and charges have been paid in full and nothing remains due. All refunds shall be credited to the Bank Account provided by Buyer and his account’s access will be rescinded. In the event the bank account is not valid the refund shall be made bycheck and mailed to Buyer at the address on file with Bids24 Salvage Services Private Limited,within 45 days of receipt of written request and verification of amount due.
Offline/Direct Purchases/Pre-Approved sales are those deals which are pre-approved by seller to Bids24 Salvage Services Private Limited,and they can be finalized via Auction sale,electronic communication or both to interested buyer as per applicable Auction/Vehicle Fee.
Buyer will be accountable to pay Penalty Fee to Seller or Bids24 Salvage Services Private Limited,in the event of fail to perform any auction sale obligation or/and considered BACKOUT for any cause. An applicable amount shall believe against anycharges and dues which are outstanding and payable by the Bidder to the Auctioneer or Seller including but not limited to non-payment of the amount ofTotal Price to the Seller within the prescribed time period, refusal to honor the Total Price including the Winning Bid, non-payment of Success Fee to the Auctioneer or violation of any other term of this Agreement resulting in any loss or damage to the Auctioneer or Seller
You undertake to use nay means of payment according to law, and in accordance with the instructions of the owner and/or the issuer of such means of payment.
The Company's records and/or of anyone on its behalf shall constitute prima-facie evidence of the execution of a purchase by you.
You undertake to keep your password and username details in strict confidence.It is clarified that any activity which included logging into your account using your password will bind you with all respects.

Limitation of Website's Liability :-
1. The information on the Website is provided "AS IS", “WHERE-IS” and "ASAVAILABLE" basis. We do not guarantee its accuracy or correctness. We try to keep our Services safe, secure,and functioning properly,but we cannot guarantee the continuous operation of or access to our Services. Bid update and other notification functionality in Website’s applications may not occur in real time.Such functionality is subject to delays beyond Website’scontrol.
2. The content of the Website is uploaded to the Website as per information provided by Sellers and/or transmitted by Sellers to the Website's representatives only for uploading purposes, and is published without any prior examination.
3. The Bids24.in Website is an online brokerage platform between person/entity who transacts in the Vehicle through the Platform, being owner there of or insurance companies, banks, financial institutions, new vehicle dealers acting on behalf of the owners,other authorized Sellers and Buyers.The Website is not responsible and will not bear any responsibility for the contents and/or the availability of the services of the Website and/or other linked websites (including the contents submitted for publication).
4. To the fullest extent permitted by applicable law, the User agrees and approves that the Company, including its representatives, employees, officers,affiliates, licensors, suppliers, directors, managers, shareholders, and/or agents shall not be held liable for:
5. any damage (direct or indirect) caused to the User and/or any other third partyin relation to the use made by the User (whether directly or indirectly) of theWebsiteand/orthe Services;
6. any malfunction,error,or omission of the Website and/or the Services;
7. any direct, indirect, consequential, or incidental, special, punitive, exemplary damage or other indirect damages under any legal theory due to access to the Website or its use and/or the use of any part of the Services or due to any hindrance from accessing or using the Website, even if the Company has been advised of the possibility of such damages.

It is hereby clarified, that the Website does not guarantee the quality of thework or services rendered by Suppliers, and are not responsible for the standardand/or ongoing activities of the Suppliers. The Website shall not be liable for any damages caused to Sellers and/or Buyers, in connection with any transaction executed with the involvement of such Suppliers. Furthermore, Users shall besolely responsible for using any payment means, and the Website shall not be held responsible for any damages in this regard, including leakage of details,theft,etc.
9. If the Company shall be found liable for any loss or damage that is in any way connected with your use of the Website and/or the Services, then the Company's liabilities will innoevent exceed,in the aggregate,the total amount paid by you to the Company for the use of the Website and/or Services during the twelve (12)month period that immediately preceded the event that gave rise to the applicable claim,or if no such amount waspaid by youtothe Company.

The Website reserves the right to change, remove or omit any information from any content uploaded,further Website may with or without notice, postpone or cancel an Auction Sale or withdraw a Vehicle from Auction Sale at its sole discretion which will have no liability or obligation whatsoever to Bidder as are sult of any withdrawal,postponement or cancellation of an Auction.
12. The Website is not committed to its continuous and proper operation or to the execution of any transaction.The Website shall not be liable for any malfunctions that may result from the transfer of information from the Buyers to the Seller or from the Seller to the Buyers.
13. The Website operates as a platform only, and is not responsible for the correctness and accuracy of any publications, change of time,dates or any other in formation relating to Auction sales.
14. The Website reserves the right to cancel an Auction Sale in the event offraud/misrepresentation/defect in the Vehicle description or information as determined by Seller to block Users at its solediscretion.
15. The Website may include third party advertisements. It is hereby clarified thatthe Company is not responsible for the content of the said advertisements and/orfor the suitability of the Products and/or Services marketed through such, anddoes not recommend and/or encourages Users to purchase the Products and/or Services offered as part of such advertisements.
16. The Products' images presented on the Website are for illustration purposes only, as provided to the Website by the applicable Sellers for advertising purposes on the Website.
17. The Company and/or the Website do not supervise and are not responsible for there liability and/or accuracy of the information presented the level of service of the Sellers, delivery schedules, the compatibility between the images and the Products supplied,and so forth.
18. Bids24 and the Website shall only be obliged by the terms of this Term of Use.Where the reisa conflict or any discrepancy between the provisions of these Terms of Use and those stated elsewhere on the Website or any other source, including the terms of use of each Sales House, Receiver, Estate Manager and/or Trustee (in this section, the "Other Source"), the provisions ofthese Terms of Use shall prevail, even if it was created prior to the creation of the Other Source, if these Terms of Use are mentioned in the Other Source, andeven if the Other Source is more specific with respect to the applicable issue.Provided however, that these Terms of Use shall prevail only if and to the extentthat the Other Source does not expand the rights of Bids24 and/or the Website and/or the Other Source does not reduce from any of Bids24 and/or the Website's liability.

Limited License :-
1. Subject to your compliance with these Terms of Use, you are hereby granted with a limited and personal license to use the Website's services.
2. The use of the Website and its service for any purpose is subject to the laws of India and all local regulations applicable to its citizens. By agreeing to these Terms of Use, you undertake to comply with all local laws, national laws and regulations relating to the use of the Website or its services in general,and online Auctions in particular.
3. Each User may only hold one account.
4. A User, who has been blocked from using the Website, is strictly prohibited from using others accounts or opening new accounts using others' information
5. The Website and/or anyone on its behalf do not obligate to maintain in formation which is stored about you.You shall be solely responsible for keeping and backing up any information relating to you.
6. It is strictly forbidden to perform any robotic scan of the Website and/or to imposean unreasonable load of trafficonits servers.

All rights and/or intellectual property presented on the Website are solely owned by the Website and/or any other website which holds a right to use such rights, and they are protected by any law, including all accounts, titles, computer code, subject, objects, characters, names, stories, dialogues, key sentences,locations, ideas, artistic presentations, animations, sounds, musical compositions, image and sound effects, operating methods, Buyers lists, market segmentation,Userlists,graphics,User-supplied information,and so forth.

2. Any Product which shall be offered for Auction Sale via the Website by a Seller will be placed and displayed within a designated auction page in which relevant in formation regarding the applicable Product shall be provided.
3. The Website allows its Registered Users only to place bids in Auctions of aparticular or multiple vehicle which shall be as is where is basis only.
4. All bids placed with respect to any vehicle in auctions by you made via the Website/Mobile app shall be binding. In case such bids are placed and selected as the winning bids, you shall be required to exercise such bids. Cancellation of bids and/or purchases shall not be possible post auction expiry.
5. Being all auctions “Post Approval”, Seller is not obligated to accept the highestbid or any bid what so ever, and will be entitled to hold an additional bidding process between the bidders or some of them, even following the applicable saledate, to extend the deadline for submission of bids, to extend the time of anybidding process and to cancel a bidding process, all in its sole discretion and subject to applicable law.
6. The price offered by Bidders in Auctions with respect to a Vehicle is a net price for such applicable Vehicle only.A standard Transaction Fee(asmentionedin “Fees and Payments” section) of the Winning Bid shall be payable by the Bidder to Bids24 Salvage Services Private Limited.Winner is responsible for paying all fees associated with the use of the Website and agrees to bear any and all applicable taxes, charges,cesses etc. levied there on.
7. In the event of Non-payment (of Membership Fee, Security Deposit, AuctionFee, etc.) or not honoring the Winning Bid or Late/No-response against any auction obligation by Bidder, Bids24 Salvage Services Private Limited,reserves the right to temporarily/indefinitely suspend or terminate your membership and/or for feit whole or part of the any Deposit deposited to the Website and refuse to provide access to the Website by considering you BACKOUT and may take legal action.
8. In case any buyer issue arises, we may consider the user's performance history and the specific circumstances in applying our policies. We may choose tobe more lenient with policy enforcement in an effort to do the right thing forbuyers. Applying for Membership :-
1. Access of the Website is available only to persons(as a registered Bidder)who can form legally binding contracts under Indian Contract Act, 1872. One must be18 years or older or at least the age of majority in the jurisdiction where youreside or from which you use this Service. To access and use the Services, youmust agree to all Terms and Conditions after reading them thoroughly andregister for a Bids24 Salvage Services Private Limited,account by paying the requisite Registration Fee/Membership Fee and has deposited the Security Deposit (through cheque/draft/NEFT/RTGS/IMPSonly).

4. Your membership shall be reviewed and renewed annually by paying annual membership fee (1 calendar year) for continuous access to the Platform and services associated. If interested, one can become member/buyer/user of services offered by the Website for one (1) calendar year by paying the Registration Fee and Security Deposit.
Account Renew Fee is only applicable if user pays the amount on or before account expiry date, post that registration fee amount will be applicable for account re-activation.
Vehicle/Auction Fee will be calculated on the winning bid amount of every Auction Sale and becomes due and payable by Buyer once confirmation of the acceptance of his Winning Bid is conveyed to him.
A non-interest-bearing refundable security deposit (minimum of ₹10,000) will be collected from all Member applicants (via cheque/draft/NEFT/RTGS/IMPSOnly) at or post registration. Which will be returned to respective Buyer only uponhis request or expiry/early termination of this Agreement only if all invoices and charges have been paid in full and nothing remains due. All refunds shall be credited to the Bank Account provided by Buyer and his account’s access will be rescinded. In the event the bank account is not valid the refund shall be made bycheck and mailed to Buyer at the address on file with Bids24 Salvage Services Private Limited,within 45 days of receipt of written request and verification of amount due.
Offline/Direct Purchases/Pre-Approved sales are those deals which are pre-approved by seller to Bids24 Salvage Services Private Limited,and they can be finalized via Auction sale,electronic communication or both to interested buyer as per applicable Auction/Vehicle Fee.
Buyer will be accountable to pay Penalty Fee to Seller or Bids24 Salvage Services Private Limited,in the event of fail to perform any auction sale obligation or/and considered BACKOUT for any cause. An applicable amount shall believe against anycharges and dues which are outstanding and payable by the Bidder to the Auctioneer or Seller including but not limited to non-payment of the amount ofTotal Price to the Seller within the prescribed time period, refusal to honor the Total Price including the Winning Bid, non-payment of Success Fee to the Auctioneer or violation of any other term of this Agreement resulting in any loss or damage to the Auctioneer or Seller
You undertake to use nay means of payment according to law, and in accordance with the instructions of the owner and/or the issuer of such means of payment.
The Company's records and/or of anyone on its behalf shall constitute prima-facie evidence of the execution of a purchase by you.
You undertake to keep your password and username details in strict confidence.It is clarified that any activity which included logging into your account using your password will bind you with all respects.

The Bids24.in Website is an online brokerage platform between person/entity who transacts in the Vehicle through the Platform, being owner there of or insurance companies, banks, financial institutions, new vehicle dealers acting on behalf of the owners,other authorized Sellers and Buyers.The Website is not responsible and will not bear any responsibility for the contents and/or the availability of the services of the Website and/or other linked websites (including the contents submitted for publication).
4. To the fullest extent permitted by applicable law, the User agrees and approves that the Company, including its representatives, employees, officers,affiliates, licensors, suppliers, directors, managers, shareholders, and/or agents shall not be held liable for:

13. The Website operates as a platform only, and is not responsible for the correctness and accuracy of any publications, change of time,dates or any other in formation relating to Auction sales.
14. The Website reserves the right to cancel an Auction Sale in the event offraud/misrepresentation/defect in the Vehicle description or information as determined by Seller to block Users at its solediscretion.
15. The Website may include third party advertisements. It is hereby clarified thatthe Company is not responsible for the content of the said advertisements and/orfor the suitability of the Products and/or Services marketed through such, anddoes not recommend and/or encourages Users to purchase the Products and/or Services offered as part of such advertisements.
